1. Parties
This Partner Program Agreement ("Agreement") is between TelePeptide Health LLC, a New Jersey limited liability company ("TelePeptide," "we," "us," or "our"), and the individual, healthcare practice, or business entity identified in the partner application ("Partner" or "you"). By submitting a partner application at telepeptide.org/partner or by referring any patient to TelePeptide through your unique referral link or Partner Code, you agree to these terms in full. The Partner Program is a single unified program open to both licensed healthcare providers and content creators / general marketers — the commission structure is identical for both audiences.
2. Eligibility
To participate as a TelePeptide partner you must be: (a) at least 18 years of age; (b) operating in a lawful capacity in your jurisdiction; (c) able to receive US-affiliate-style payments in your name or your business's name; (d) not currently sanctioned, excluded, or convicted in a way that would prohibit receipt of marketing fees from a US healthcare company. If you are a US-licensed healthcare provider participating as a partner: you must hold an active and unrestricted license (MD, DO, NP, PA, DC, ND, RD, LMHC, or equivalent) and must not be subject to any state medical board investigation, DEA action, or OIG exclusion. We may verify your license through publicly available state board databases. If you are a content creator: you must be operating a website, newsletter, social-media channel, podcast, YouTube channel, or other public-facing content platform (or planning to launch one within 90 days of approval). We do not require minimum audience size. We may decline any application without explanation.
3. The Partner Program
Once approved, TelePeptide will issue you a unique Partner Code and a personalized referral link (e.g. telepeptide.org/intake?partner=YOUR_CODE). You may share these with patients in a clinical setting, clients, audience, readers, podcast listeners, social-media followers, or in any other lawful channel. We handle clinical evaluation, prescription, pharmacy coordination, shipping, ongoing patient management, and all payment processing. You handle the recommendation and the audience/patient relationship. You are not engaged as our employee, agent, joint venturer, or franchisee — you are an independent contractor.
4. Commission — How We Calculate Your Payment
You earn fifteen percent (15%) of the Net Subscription Revenue we collect from each Active Referred Patient, every month they remain active, for the first twelve (12) months of their subscription, SUBJECT TO A FIFTY US DOLLAR ($50) PER-PATIENT-PER-MONTH CAP. The cap applies independently each month: if 15% × the patient's subscription fee for a given month exceeds $50, you receive $50 for that month; otherwise you receive the full 15%. At present, all TelePeptide plans price below the cap threshold ($333/mo), so the cap is a future-proofing ceiling that does not bite at today's pricing. After month 12, recurring commission ends; the underlying patient subscription continues with TelePeptide. There is no cap on the number of patients you may refer, no quota or minimum, and no exclusivity requirement.
5. Calculation Details
"Net Subscription Revenue" = the monthly subscription fee actually charged to and paid by the referred patient, MINUS any refunds, chargebacks, processing-fee reversals, partial credits, or promo-code discounts the patient applied. The 12-month recurring window begins the FIRST MONTH the patient is billed, not the day they signed up — so if a patient signs up December 28 and the first invoice clears January 2, recurring runs January through December of the following year. The $50/mo cap is applied AFTER the 15% calculation and AFTER any Net adjustments: if 15% × Net for a given month is $40, you receive $40 (under cap); if it is $60, you receive $50 (capped). The cap is per-patient-per-month and does not aggregate across patients — you do not lose commission on patient #2 just because patient #1 hit the cap that month. "Active Referred Patient" = a patient who (a) signed up through your unique referral link OR entered your Partner Code at checkout (the checkout-code mechanism is launching 2026 Q3 — until then, attribution runs entirely on tracked links), AND (b) has a paid invoice in the current billing month that has not been refunded or charged back within the standard 14-day refund window. Refunds, chargebacks, or patient-initiated subscription credits reverse the corresponding commission in your next monthly statement.
6. Payout Schedule and Method
We close each commission month on the last calendar day. Earned commissions are paid out on the 15th of the following month (e.g. January commissions paid February 15). Minimum payout threshold is twenty-five US dollars ($25); balances below the threshold roll forward to the next month. Default payout method is Stripe Connect (US ACH or international wire). PayPal is available on request for international partners. You may elect a paper check at your address of record by request, which extends payout time by 7–10 business days. You are responsible for accurate banking and tax information; we are not liable for payments delayed or misrouted due to incorrect information you provide.
7. Tax Reporting
You are an independent contractor responsible for all federal, state, and local taxes on commissions earned. For US partners, if your cumulative commissions in a calendar year reach six hundred US dollars ($600) or more, we will issue a Form 1099-NEC by January 31 of the following year and report payments to the IRS. Non-US partners must complete IRS Form W-8BEN (individual) or W-8BEN-E (entity) prior to first payout; failure to do so will result in 30% backup withholding as required by US law. You agree to indemnify TelePeptide against any tax liability that arises from your failure to report or pay tax on commissions you receive.
8. Attribution Window and Last-Touch Rule
A patient is attributed to your partner account when they (a) click your unique referral link, which sets a 60-day attribution cookie on their browser, OR (b) enter your Partner Code at checkout (mechanism launching 2026 Q3). The 60-day cookie window starts at the moment of first click. If the patient signs up within those 60 days, attribution is permanent for the duration of their 12-month commission window — even if they later visit the site through another channel. If a patient is referred by more than one partner within the 60-day window, attribution goes to the LAST partner click ("last-touch" attribution). If a patient creates an account without ever using a referral link or Partner Code, no commission is paid even if you previously mentioned TelePeptide to them — there must be a recorded attribution event in our system. The Partner Code mechanism, when it launches, will allow patients to manually attribute a partner up to 14 days after they signed up (one-time override available through patient-support, intended for cases where the cookie was blocked or the patient forgot to use the link).
9. Promotional Conduct — What You May and May Not Do
You MAY: recommend TelePeptide to patients, clients, or audience members in any lawful channel — clinical settings, newsletters, blog posts, social posts, podcasts, YouTube videos, paid Meta/TikTok/Instagram ads (subject to platform health policies); use our brand assets (logo, screenshots, copy snippets, lifestyle imagery) from the partner portal in accordance with our brand guidelines; quote our published pricing and program descriptions verbatim. You MAY NOT: (a) make any clinical claims, weight-loss guarantees, or outcome promises that TelePeptide has not published; (b) describe compounded medications as "FDA-approved" — they are not; (c) imply TelePeptide is a substitute for in-person care when in-person care is clinically indicated; (d) bid on TelePeptide-branded keywords ("telepeptide", "tele peptide", or close variants) in paid search ("Brand Bidding"); (e) use spam, mass unsolicited email, automated bots, cookie-stuffing, browser hijacking, popup-bait, or any other CAN-SPAM/TCPA-violating outreach; (f) misrepresent the TelePeptide brand, our pricing, or your relationship with us; (g) operate fake "independent review" sites that funnel all traffic to TelePeptide while presenting themselves as neutral; (h) sell or transfer your Partner Code or referral link to a third party; (i) target audiences under 18. Violation of these rules is grounds for immediate suspension and forfeiture of unpaid commissions.
10. FTC Disclosure — Required for Public Promotion
You agree to comply with the US Federal Trade Commission's Endorsement Guides (16 CFR Part 255) on every piece of public-facing partner content. In practice, this means a clear and conspicuous disclosure of your material connection to TelePeptide on any post, video, story, email, or other content that includes your referral link or Partner Code. Acceptable disclosure formats include: "#ad", "#affiliate", "#partner", or plain-English statements such as "TelePeptide is a partner — I earn a commission if you sign up through my link." The disclosure must appear above the fold (visible without scrolling/expanding "more" sections), in the same language as the content, and not buried in a wall of tags. Video creators must include both visible on-screen text and spoken disclosure in the first 30 seconds. Newsletter authors must include the disclosure in the body of the email, not just the footer. This Section applies primarily to content-creator partners; licensed healthcare providers should additionally consult Section 11 regarding clinical-disclosure obligations.
11. Clinical Compliance — Anti-Kickback, Stark, and Provider Conduct
If you are a licensed healthcare provider participating as a partner, you acknowledge that the Federal Anti-Kickback Statute (42 U.S.C. § 1320a-7b) and the Stark Law (42 U.S.C. § 1395nn), where applicable, prohibit payment for patient referrals that involve federal healthcare programs (Medicare, Medicaid, TRICARE). TelePeptide is a direct-pay cash-pay service and DOES NOT accept federal healthcare program payments. The 15% commission is paid solely on cash-pay subscriptions and is structured as a fair-market-value marketing fee, not a fee for clinical referral. As a provider partner, you are responsible for (a) determining whether your participation is permitted under your state's fee-splitting and patient-brokering laws; (b) disclosing your financial relationship with TelePeptide to your patients before recommending our programs, in a manner that satisfies your state's fiduciary and informed-consent requirements; (c) ensuring that your recommendation is based on the patient's independent clinical interest and not solely on the commission opportunity; (d) NOT prescribing or recommending TelePeptide programs to your federal-healthcare-program patients in a manner that could be characterized as a kickback for clinical referral. We strongly encourage provider partners to consult their own healthcare-compliance attorney before joining.
12. Medical Content Standards (Non-Provider Partners)
If you are NOT a licensed healthcare provider, you acknowledge that you are NOT acting in a clinical capacity for TelePeptide audiences. Specifically: (a) you must not provide individualized medical advice, dosing recommendations, eligibility opinions, or contraindication assessments; (b) you must direct audience medical questions to TelePeptide's licensed providers (e.g. "talk to the TelePeptide intake clinician about whether this is right for you"); (c) you must include in any GLP-1 / peptide content a disclaimer that the active ingredients (semaglutide, tirzepatide, NAD+, sermorelin) carry side effects and are prescription medications subject to clinician approval; (d) you must not promote off-label uses TelePeptide has not formally endorsed. Suggested boilerplate disclaimer (you may copy/paste verbatim): "Compounded medications discussed here are prescribed by licensed US physicians and dispensed by licensed compounding pharmacies. They are not FDA-approved as finished products. Individual results vary. Side effects exist. Always consult a clinician — TelePeptide's intake includes a free consult."
13. Confidentiality and HIPAA
You will not have access to TelePeptide patient Protected Health Information (PHI) by virtue of being a partner. Your dashboard shows only aggregate, de-identified statistics (number of clicks, number of signups, monthly commission earned). If you are a healthcare provider and you provide direct patient-facing care to a person you have also referred to TelePeptide, your relationship with that patient remains governed by your own clinical practice's HIPAA obligations — TelePeptide is not your Business Associate for that purpose. You agree not to use TelePeptide partner data, conversion statistics, or pricing tables to compete with TelePeptide or to enable a third party to do so.
14. Brand and Intellectual Property
TelePeptide grants you a limited, revocable, non-exclusive, non-transferable license to use our trademarks, logo, screenshots, and copy snippets solely for the purpose of promoting TelePeptide through your tracked referral link or Partner Code. You agree to use only assets we have made available in the partner portal, and to follow the brand guidelines that accompany them (color palette, logo lockup, no distortion, no modification of program names or pricing). You may not register a domain name, social handle, app name, or business name that incorporates "TelePeptide", "Tele Peptide", or any close variant. All goodwill from your use of the brand inures to TelePeptide.
15. Termination and Trailing Commissions
Either party may terminate this Agreement at any time, for any reason, on thirty (30) days written notice via email to the other party (partners@telepeptide.org for notices to TelePeptide). On termination by either party in good standing, you will continue to earn trailing commissions on Active Referred Patients you brought in prior to termination, for the remainder of each patient's original 12-month recurring window OR six (6) additional months from the termination date, whichever ends sooner. Trailing commissions follow all the same calculation rules in Section 4 (including the $50/mo per-patient cap). TelePeptide may terminate this Agreement immediately and forfeit any unpaid commissions if you breach Section 9 (Promotional Conduct), Section 10 (FTC Disclosure), Section 11 (Clinical Compliance), Section 12 (Medical Content), or any applicable law.
16. Disclaimers and Limitation of Liability
The partner program, dashboard, and referral-link infrastructure are provided "as is" without warranties of any kind. We make no guarantee of any minimum click volume, conversion rate, or commission amount. We may modify program mechanics, commission rates, attribution windows, the cap value, or the underlying patient programs at any time with at least fifteen (15) days notice via email. TelePeptide's aggregate liability to you for any claim is limited to the total commissions paid or owed to you in the six (6) months preceding the claim. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, regardless of legal theory. Nothing in this Section limits either party's liability for fraud, willful misconduct, or breach of confidentiality obligations.
17. Governing Law and Disputes
This Agreement is governed by the laws of the State of New Jersey without regard to conflict-of-laws principles. Any dispute arising from or relating to this Agreement that the parties cannot resolve in good faith within thirty (30) days will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, conducted in Bergen County, New Jersey, with the prevailing party entitled to recover reasonable attorneys' fees. You waive any right to a jury trial and to participate in a class action or class-wide arbitration. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property, enforce confidentiality, or prevent immediate harm.
18. Entire Agreement, Amendments, Severability
This Agreement, together with the TelePeptide Terms & Conditions at /terms and Privacy Policy at /privacy-policy, constitutes the entire agreement between you and TelePeptide concerning the partner program. Material amendments will be communicated by email at least fifteen (15) days in advance and posted at /partner/terms. If any provision is found unenforceable, the remaining provisions remain in full force. No oral or informal statement modifies this Agreement.
